Conflict of Interest and Confidentiality

United Way of Asheville and Buncombe County (UWABC) strives to operate as a transparent nonprofit and as such, openly shares the decisions of the Board of Directors along with other information deemed important for community review.  To avoid any breach of confidentiality, conflict of interest or the appearance of a conflict of interest which could tarnish the reputation of United Way of Asheville and Buncombe County, as well as undermine the public’s trust, it is expected that United Way Board Members and other volunteers (as determined by the Board) will review, complete and sign the Conflict of Interest and Confidentiality Policy.

Board Members and Standing Committee Volunteers:

  • Shall not disclose any information about or discussion of specific information on staff, clients, donors, volunteers, agencies or companies except as requested or approved by the individual or Executive Director of said institution.
  • May share final decisions by the Board of Directors.
  • Shall not knowingly take any action, or make any statement, intended to influence the conduct of UWABC in such a way to confer any financial benefit on themselves, their immediate family members or any organization in which they or their immediate family members have a significant interest as stakeholders, directors or officers.
  • Refrain from influencing the selection of staff, consultants or vendors who are relatives or personal friends or affiliated with, employ, or employed by a person with whom they have a relationship that adversely affects the appearance of impartiality.
  • Shall disclose all known conflicts or potential conflicts of interest in any matter before the Board of Directors or Committee on which they serve, and refrain from discussion or voting on the particular conflict.  At the discretion of the chair, such volunteers may be asked to withdraw from the meeting room during any discussion, review and voting in connection with such matter.
  • Shall annually affirm the assurance of confidentiality and disclose all known potential conflicts of interest.
